I. Name of the organization

The name of this organization shall be the Williamson County Libertarian Party, hereinafter referred to as the WCLP. The WCLP is an affiliate of the Libertarian Party of Texas, hereinafter referred to as the Texas LP.

II. Definitions for body of Williamson County Libertarian Party by-laws

This chapter and the definitions will apply to the entirety of the Williamson County Libertarian Party By-laws unless explicitly stated after the word in a comma limited definition.

III. Purpose of the organization and Mission Statement

The purpose of the WCLP is to implement and give voice to the principles and message of the Libertarian Party.

The mission of the WCLP is to grow, educate, motivate, congregate and develop candidates from our body of members. The WCLP strives to educate the public about Libertarian ideas and inspire the public to defend itself by leading the community. The WCLP also aims to create alliances with other organizations and work with the citizens of Williamson County and the surrounding area to assert our Constitutional rights and maintain and improve our way of life.

IV. Membership

A member of the WCLP shall be defined as any member of the Texas LP who resides in Williamson County.

Membership privileges and standing shall be revoked if a member commits slander or libel against the WCLP, the Texas LP or the Libertarian Party or otherwise compromises the trust of the WCLP which includes and is not limited to a lawsuit or theft.

V. Organization

There shall be three (3) elected Officers of the WCLP. These three (3) Officer positions are Chair, Secretary and Treasurer and will be concurrent members of the WCLP Executive Committee. All Officers must be members of the WCLP and should be active in the WCLP for at least two (2) months. “Active” is defined as attending meetings and/or supporting the WCLP with regular donations or participating as a volunteer in WCLP activities.

All Officers shall be elected by a majority vote, by a secret ballot election, at a regular county convention. An officer who wins the Officer seat shall assume the position and the responsibilities of the position immediately upon the adjournment of that Convention. From the time of adjournment, the Officer will serve in his or her Office for a term of two years and once the two years have elapsed and the next convention is held, he or she is eligible for reelection for the Office of the term he or she has served.

Once the Chairman has taken Office either by regular convention or by appointment of the Chair of the Texas LP, up to six (6) vacancies of the Executive Committee shall be filled. An Executive Committee position vacancy is filled when, first, a member of the WCLP is nominated and then voted in by a majority vote of the WCLP members present.

Additional directors and a Vice Chair may be appointed by a majority vote of the WCLP Executive Committee. The appointee will serve until the next regular Convention or until removal. The appointee must also be a member of the WCLP.

A committee is formed when the WCLP Executive Committee has a majority vote in favor of the committee. A Chairperson of the created committee shall first be appointed by the created committee or if for any reason there cannot be a chair appointed in a reasonable amount of time, the WCLP Executive Committee will appoint a chairperson for that committee.

The WCLP Chair shall be the principal and presiding officer of the Executive Committee and the chief executive officer of the WCLP.

A member of the Executive Committee can be removed in the following ways.

- A vote by a majority of the Executive Committee whereby the motion is to remove a particular member.
- A motion of “no confidence” which can be made by anyone of the WCLP membership. Such a motion shall supersede and take priority over all other motions on the floor at such time with the exclusion of any points of order, points of inquiry, and adjournment. If this motion receives a majority vote in favor of “no confidence,” from the WCLP body of members, the WCLP Executive Committee named in this motion shall be removed from the WCLP Executive Committee.
- A WCLP Executive Committee member is found to not meet the criteria or membership as defined by Texas LP bylaws and this removal shall be at the discretion of the WCLP chair.
- A WCLP Executive Committee member is absent without prior notice two consecutive regular business meetings.
- Resignation.

If the Office of the Chair, Treasurer of Secretary becomes vacant, it shall be filled by a special convention, scheduled no earlier than 14 days and no later than 30 days from the day that the respective Office becomes vacant. The Secretary shall give notice to the members of the WCLP (by email communications or any other method left to the discretion of the Secretary and/or Chairperson) at least seven days prior of the special convention agenda, location, start time and the schedule. If the Office of Secretary is vacant, the Chairperson shall issue such notice and if the Office of Chairperson is also vacant, the Vice Chair shall issue such notice. If the Offices of Secretary, Chair and Vice Chair are simultaneously vacant, a special convention chair will be elected by the WCLP members present.

No person shall hold more than one Executive Committee office with exception to the Vice Chair and “Director” offices referred to in section IV, paragraph three. An Executive Committee Member may cast only one (1) vote on matters before the WCLP Executive Committee. There is no vote by proxy.

The Chair of the WCLP is expected to and shall issue an annual report of the progress of the WCLP at the year’s end. The deadline for this annual report is the February meeting of the WCLP.

The Executive Convention shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the WCLP, exercising full authority over the affairs of the WCLP between the regular Conventions.

All Officers and members of the WCLP Executive Committee must be members of the Libertarian Party.

VI. Executive Committee Business Meetings

The WCLP Executive Committee shall be held the second Tuesday of each consecutive month, indefinitely unless otherwise ordered by the WCLP Executive Committee. Special sessions of the Executive Committee may be arranged if the Chair so decides, or if two thirds of the Executive Committee submits a written request.

As a courtesy, regular meetings or special sessions will be held between the hours of 6 pm and 10 pm on weekdays (Monday through Friday) or 11am to 9pm on weekends.

A quorum is required to hold an Executive Committee Meeting and is achieved when a majority of the Executive Committee is in attendance to the regular or special meeting.

WCLP Executive Committee meetings shall be open to the public but voting on items of the meeting shall be limited to members of the WCLP and if someone outside the WCLP wishes to address the body of the WCLP at a regular meeting the individual must first be recognized by a member of the WCLP.

VII. County/Precinct Conventions

A regular County Convention of the WCLP shall be held every general election voting year; this being every two years. To qualify as a delegate in order to participate in the regular WCLP county convention, one must reside in Williamson County and be affiliated solely with the Libertarian Party for the voting year in which the particular election is being held.

The Secretary of the WCLP shall keep a roster on file of the delegates that will include the delegate’s name and address and this roster will be kept for two years. The roster shall be final upon adjournment of the convention and subsequent additions to this roster are not permitted. Events that would invalidate an affiliation and address changes are required to be performed and the Secretary is responsible for making these changes on the roster one notified of these changes.

VIII. Parliamentary Authority

The preceding text creates the bylaws of the WCLP organization and constitutes the rules of the WCLP. All other matters are governed by the Texas LP.

For any rules not mentioned in the preceding text on any pages of this document or the Rules published by the Texas LP or the edition of Robert’s Rules of Order Newly Revised shall have authority over the proceedings of the meetings held by the WCLP and the WCLP Executive Committee.

IX. Amendment of WCLP Bylaws

These bylaws of the WCLP stated in this document are subject to amendment. Any proposed amendments shall be made at a regular county convention or a special session of the WCLP Executive Committee. In order for the WCLP bylaws to be successfully amended, there must be a two-thirds majority vote in favor of the amendment in the convention/session by the WCLP Executive Committee/members present respectively.

X. Archive

Amendments, Corrections, or any type of alteration shall be document within the bylaws, amended as the last page with the title “Archive”, the previous text of the revision, along with its placement within the context from which it was placed. Immediately preceding the archival text shall follow the date, time, and session of the authoritative body from which jurisdiction is proven that amended, corrected, or altered the Williamson County Libertarian Party By-Laws.

First Amendment

Amendments, Corrections, or any type of alteration shall be document within the bylaws, amend as the last page with the title “Archive”, the previous text of the revision, along with its placement within the context from which it was placed. Immediately preceding the archival text shall follow the date, time, and session of the authoritative body from which jurisdiction is proven that amended, corrected, or altered the Williamson County Libertarian Party By-Laws.
